Very many apologies for taking so long to post this to the
list...combination of appalling time management and too much on!
This is a UK NDA but it will give a clear grasp of the principles
involved in protecting confidential information. In essence, they are:
1. Define in advance as tightly as you can (but without giving it
away!) what the nature and scope of the information is likely to be.
2. Make the PURPOSE of disclosing it very clear - this is so that any
use outside the purpose can be clearly restricted.
This NDA is 'non mutual' - in other words, it will only protect YOUR
disclosures. This is really what you want - a mutual NDA can lead to
difficulties (see my previous mail). If the other parties want to
protect their IP, let them take the appropriate measures.
The document was created in Notepad so should be compatible with most
word-processors, although it will lack any intelligent formatting.
I may have a US NDA hanging around and will check.
